Plain-English Summary: These Terms govern your use of the LocalShop platform. LocalShop is a white-label e-commerce tool that helps local businesses sell online. If you use LocalShop as a merchant or customer, these Terms apply to you. Please read them — they contain important information about your rights and ours.

1. Acceptance of Terms

By accessing or using the LocalShop platform at getlocalshop.com or any storefront powered by LocalShop (the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Platform on behalf of a business, you represent that you have authority to bind that business to these Terms.

If you do not agree to these Terms, you may not use the Platform. Your continued use of the Platform after any changes to these Terms constitutes your acceptance of the updated Terms.

2. Description of Services

LocalShop is a white-label hosted e-commerce platform operated by StanHattie LLC ("we," "us," or "LocalShop"). The Platform allows local businesses ("Merchants") to create and operate online storefronts where their customers ("Customers") can discover and purchase products.

We are a technology platform — we are not a retailer, marketplace operator, or party to any transaction between a Merchant and their Customers. Merchants are responsible for the products they sell and the customer relationships they maintain.

3. Eligibility and Account Registration

To register as a Merchant, you must:

Customers do not need to create an account to browse storefronts. Customers who place orders will provide contact and shipping information, which is governed by the Merchant's storefront policies and our Privacy Policy.

You are responsible for keeping your account credentials secure. Notify us immediately at hello@stanhattie.com if you believe your account has been compromised.

4. Merchant and Customer Accounts

Merchants have full access to an admin dashboard to manage their storefront. Merchants are solely responsible for:

Customer Accounts and Orders

When a Customer places an order through a LocalShop-powered storefront, they are transacting directly with the Merchant. LocalShop facilitates the technical infrastructure for that transaction but is not the seller. Product quality, fulfillment, returns, and refunds are the Merchant's responsibility.

5. Payments and Fees

Merchant Subscription

Merchants pay a monthly subscription fee to access the Platform. Current plans are described in the Merchant Agreement and on our website. Subscriptions are billed monthly via Stripe. Merchants may cancel at any time; no refunds are issued for partial billing months.

Transaction Fees

In addition to the monthly subscription, a per-transaction platform fee is deducted from each sale at the time of payout. Fee rates depend on the Merchant's plan. See the Merchant Agreement for current rates.

Payment Processing

All payment processing is handled by Stripe, Inc. and Stripe Connect. LocalShop does not store, process, or have access to full credit card numbers or payment card data. Stripe's terms of service and privacy policy apply to all payment transactions. When Customers pay, funds are routed through Stripe Connect directly to the Merchant's Stripe account, less applicable platform fees.

Sales Tax

LocalShop collects Iowa state sales tax at checkout on behalf of Merchants where applicable. Merchants are responsible for any additional tax obligations in other jurisdictions where they may have nexus.

Chargebacks and Disputes

Merchants are responsible for managing and responding to payment disputes and chargebacks through Stripe. LocalShop is not liable for chargeback losses.

6. Prohibited Uses

You may not use the Platform to:

7. Intellectual Property

Our Platform

The LocalShop platform, including its software, design, logos, documentation, and underlying technology, is owned by StanHattie LLC and protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, modify, or distribute any part of the Platform without our express written permission.

Merchant Content

Merchants retain ownership of all content they upload or create on the Platform, including product photos, descriptions, logos, and branding ("Merchant Content"). By uploading Merchant Content, you grant LocalShop a non-exclusive, royalty-free license to host, display, and serve that content solely as necessary to operate the Platform on your behalf.

You represent that you own or have the rights to all Merchant Content you upload, and that it does not infringe on any third party's intellectual property rights.

8. DMCA and Copyright

LocalShop respects intellectual property rights and complies with the Digital Millennium Copyright Act (DMCA). StanHattie LLC is registered with the U.S. Copyright Office as a DMCA Service Provider (Registration #DMCA-1070999).

If you believe content on a LocalShop-powered storefront infringes your copyright, please send a written notice containing all required DMCA elements to:

Counter-notifications may be submitted by the affected party in accordance with 17 U.S.C. § 512(g). We will process valid DMCA notices promptly and may remove infringing content and notify the relevant Merchant.

9. Third-Party Services

The Platform integrates with the following third-party services:

These third-party services have their own terms of service and privacy policies. We are not responsible for the practices of these third parties. By using the Platform, you acknowledge that your data may be processed by these services in accordance with their respective policies.

10. Privacy

Our collection and use of your personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you agree to our Privacy Policy.

11. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, STANHATTIE LLC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Platform will be uninterrupted, error-free, or completely secure. We are not responsible for delays, failures, or interruptions caused by third-party services, internet outages, or events outside our control.

LocalShop is not responsible for the products, services, content, or conduct of Merchants using the Platform. Disputes between Customers and Merchants should be resolved directly between those parties.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STANHATTIE LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, OR LOSS OF BUSINESS GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES YOU PAID TO LOCALSHOP IN THE THREE (3) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow certain liability limitations. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

You agree to indemnify, defend, and hold harmless StanHattie LLC and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

Either party may terminate a Merchant's use of the Platform with 30 days' written notice. Merchants may also cancel their subscription at any time through their account dashboard or by emailing hello@stanhattie.com.

We reserve the right to suspend or immediately terminate a Merchant account for:

Upon termination, Merchant access to the admin panel will be disabled. Merchant data (product catalog and customer data) will be available for export upon request for 30 days following termination, after which it may be deleted.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Iowa, without regard to its conflict of law principles. Any dispute arising from these Terms or your use of the Platform shall be brought exclusively in the state or federal courts located in Iowa.

Before initiating formal legal proceedings, you agree to contact us at hello@stanhattie.com and make a good-faith effort to resolve any dispute informally.

16. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify Merchants via email or a notice in the admin dashboard at least 14 days before the changes take effect. For non-material changes, the updated Terms will be posted to this page with an updated effective date.

Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the updated Terms.
